Welcome to ProGini Local ("we," "us," "our," or the "Platform"). ProGini Local is operated by ProGini Inc. These Terms of Use ("Terms") govern your access to and use of the ProGini Local website, applications, and services (collectively, the "Services"). By using our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services. If you have questions, contact us at legal@proginilocal.com.

1. Acceptance of terms

By creating an account, submitting a service request, purchasing a territory, or otherwise using the Services, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of a business or other entity, you represent that you have authority to bind that entity.

2. What we do

ProGini Local is a marketplace that connects homeowners and property owners ("Customers") with local service contractors and professionals ("Contractors"). We provide tools for territory management, lead routing, scheduling, reviews, payments, and communication. We are not a party to any contract between a Customer and a Contractor, and we do not perform the underlying services ourselves.

3. User accounts and registration

  • You must provide accurate, current, and complete information when creating an account, and keep it updated.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
  • You may not create multiple accounts to circumvent fees, suspensions, reviews, or other platform policies.
  • Contractors must complete our verification process before territories can be activated or leads can be routed. We may suspend or reject applications that do not meet our standards.

4. Contractor terms and territories

  • Territories: Contractors may purchase or claim territories by ZIP code and service category. Each territory may support up to a limited number of active contractors at a time, subject to availability, demand-based pricing, and platform limits on the number of active slots per area.
  • Pricing: Territory prices are calculated based on demand scores, category unit rates, and other market factors. Prices are shown before purchase and may change over time as market conditions change.
  • Payment and subscriptions: Payments are processed through our third-party payment processor. Recurring subscriptions auto-renew unless cancelled. Territories may expire or renew according to the terms shown at purchase.
  • No guarantee of leads: We route eligible leads to Contractors based on territory coverage and availability, but we do not guarantee a minimum number of leads, jobs, or revenue.
  • Professional standards: Contractors represent that they hold all required licenses, insurance, and permits for their trade and jurisdiction, and that they will perform work in a professional, lawful, and safe manner.

5. Lead routing and response obligations

When a Customer submits a service request, we route it to Contractors whose territories cover the relevant ZIP code and category. Contractors are expected to respond promptly within the time windows communicated in their dashboard. Failure to respond within the stated window may result in the lead being routed to another Contractor or marked as missed, and may affect the Contractor's standing on the platform.

6. SMS messaging / communications

Contractors who provide a mobile phone number during signup and opt in to SMS messaging may receive lead-notification text messages from us. The SMS program is designed to alert you when a new service request matches your territory and category.

  • Consent: By providing your phone number and checking the SMS consent checkbox during signup, you consent to receive text messages from us related to lead notifications, assignment reminders, status updates, and account activity.
  • Message frequency: The number of messages you receive depends on lead volume in your territories. You may receive a few messages per week, or more during busy periods.
  • Rates: Message and data rates may apply from your wireless carrier. Please contact your carrier if you have questions about your messaging or data rates.
  • Opt-out: You can stop receiving SMS messages at any time by replying STOP to any message from us. After you reply STOP, you will receive no further SMS messages unless you opt back in.
  • Opt-back-in: To resume receiving SMS messages, reply START to a previous message thread or re-enable SMS notifications in your account settings.
  • Help: For help with SMS messages, reply HELP or contact us at legal@proginilocal.com.

7. Customer obligations

  • Customers must provide accurate contact and job information so Contractors can respond effectively.
  • Customers are solely responsible for selecting, vetting, and contracting with Contractors. We encourage Customers to verify licenses, insurance, and references independently.
  • Customers must pay Contractors directly for any work performed, unless the Platform explicitly offers and facilitates payment for that job.
  • Customers may not use the Services to solicit illegal, fraudulent, or harassing work.

8. Prohibited conduct

You may not use the Services to:

  • Violate any applicable law or regulation.
  • Post false, misleading, defamatory, abusive, threatening, or discriminatory content.
  • Impersonate another person or business, or misrepresent your identity or credentials.
  • Circumvent the Platform to avoid fees, share private contact information outside the Platform for the purpose of avoiding fees, or solicit Platform users for off-platform transactions.
  • Manipulate reviews, ratings, territories, pricing, or lead routing through artificial means.
  • Interfere with the security, availability, or performance of the Services, or attempt to access systems or data you are not authorized to access.

9. Reviews and disputes

Customers may leave reviews for Contractors after a job. Contractors may dispute reviews within the dispute window shown in their dashboard. Disputed reviews are temporarily excluded from the public rating average until an admin resolves the dispute. Job disputes may be reported through the Platform and will be reviewed by our team; we may, at our discretion, take actions such as refunds, suspensions, or account reviews.

10. Intellectual property

Our content: The Platform, its source code, designs, logos, trademarks, text, graphics, data, and other materials (collectively, "Platform Content") are owned by ProGini Inc. or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works from Platform Content without our prior written permission.

Your content: You retain ownership of content you submit to the Platform, including reviews, job photos, business profile text, and other materials. By submitting content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, display, and distribute your content solely in connection with operating, promoting, and improving the Services.

Feedback: If you provide feedback or suggestions about the Services, we may use them without obligation or compensation to you.

11. Third-party services

The Platform relies on third-party providers for certain services, including but not limited to payment processing, cloud hosting, mapping and place data, email delivery, SMS and voice messaging, and analytics. These providers may process data or handle transactions on our behalf. Your use of those services may also be subject to their own terms, privacy policies, and pricing. We are not responsible for the acts, omissions, or policies of third-party providers.

12. Suspension, termination, and refund policy

  • We may suspend or terminate any account that violates these Terms, poses a risk to users or the Platform, or fails to meet our verification or quality standards.
  • Suspensions may be "for cause" (for example, fraud or policy violations) or "non-fault" (for example, platform error). For-cause suspensions generally do not receive refunds; non-fault suspensions may receive prorated refunds for unused territory time, at our discretion.
  • Suspension immediately releases all associated active territories back to the market.
  • Customers and Contractors may close their accounts at any time by contacting us. Some data may be retained for legal, accounting, or security purposes.

13. Fees and payments

All territory purchases, subscriptions, and other platform fees are non-refundable except as required by law or as expressly stated in these Terms or in a specific purchase flow. Chargebacks initiated without first contacting us may result in account suspension.

14. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

We are not responsible for the quality, safety, legality, or timeliness of any work performed by Contractors, or for any agreements, disputes, or damages arising between Customers and Contractors.

15. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PROGINI INC. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).

16. Indemnification

You agree to indemnify, defend, and hold harmless ProGini Inc. and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of your use of the Services, your content, your breach of these Terms, or your violation of any law or third-party right.

17. Force majeure

We will not be liable for any failure or delay in performing our obligations under these Terms where the failure or delay results from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of government or regulatory authorities, strikes, labor disputes, internet or telecommunications failures, or failures of third-party service providers.

18. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. Any dispute arising from these Terms or the Services will be resolved exclusively through binding arbitration in Delaware, administered by JAMS under its Consumer Arbitration Rules, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction. You agree to waive any right to a jury trial or to participate in a class action.

19. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or other tribunal of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

20. Entire agreement

These Terms, together with our Privacy Policy and any other written agreements you enter into with us in connection with the Services, constitute the entire agreement between you and ProGini Inc. regarding the Services and supersede all prior or contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.

21. Changes to these terms

We may update these Terms from time to time. We will post the revised version on this page and update the effective date. Continued use of the Services after the changes take effect means you accept the revised Terms. If a change materially affects your rights, we will provide additional notice through the Services or by email.
